Section
1. Eligibility for membership.
Persons who are responsible for human resources or
persons actively performing human resource functions
in a Texas county are eligible for membership.
Section
2. Dues.
The
dues shall be as follows:
Active Members: Individuals designated as
the chief human resources officer in a Texas county
shall be considered an Active Member with annual
membership dues of $40.
Associate Members: Other county human
resource professionals shall be considered Associate
Members with annual membership dues of $25. Dues
shall be payable to the Association Treasurer each
year on the last day of January
Section
3. Delinquency of dues.
Dues
shall be due and payable as stated in Section 2 of
this article. A member shall be considered in good
standing when his /her dues are paid on time. Dues
shall be delinquent one month after they are due.
If dues are not paid within two months after the due
date, membership shall be forfeited.
Section
4. Application for membership.
The
membership committee shall provide forms for
membership application to the prospective
member-along with a copy of the bylaws.
Section
5. Voting.
An
active member in good standing shall be entitled to
one vote at meetings. There shall be no voting by
proxy.
Section 1. Officers.
The
elected officers of the Texas Association of County
Human Resource Professionals shall be a president,
a vice-president, a secretary, and a treasurer.
Section
2. Duties of Officers.
A. President.
The president shall be the chief executive officer
of the Texas Association of County Human Resource
Professionals and shall serve a two-year term. The
president shall serve as chairman of the board of
directors and preside over the annual meeting. The
president shall have the power to appoint standing
and special committees subject to the approval of
the board of directors. The president shall submit
a yearly budget for adoption by the board of
directors at such time as the board of directors
shall direct.
B. Vice President.
In addition to other duties assigned by the board of
directors, the vice-president shall serve as
chairman of the education committee.
C. Secretary.
The secretary shall be responsible for keeping
accurate minutes of meetings of the Association and
the board of directors. The secretary shall ensure
proper notice of meetings and shall be responsible
for maintaining a listing of all members in good
standing. The secretary shall additionally serve as
chair of the Membership Committee.
D. Treasurer.
The treasurer shall be responsible for the
collection of dues, and for receipt and deposit of
income into accounts at such banks and financial
institutions as the board of directors shall
direct. The treasurer shall keep accurate records
of monies received and expended and shall make a
financial and budget status report at each meeting
of the Association and the board of directors.
Section
3. Election of officers.
The
officers shall be elected at the Association’s
annual meeting. They shall take office following
the adjournment of the meeting at which they are
elected. Elected officers shall serve a term of two
years or until their successors are elected. No
member may serve more than three consecutive terms
in the same office. A majority vote of the
membership in attendance shall elect.
Section
4. Vacancies in office.
Vacancies in office shall be filled by the board of
directors for the remainder of respective terms.
Section
1. Annual meeting.
An
annual meeting of the Texas Association of Human
Resource Professionals shall be held for the purpose
of election of officers and directors, receiving
reports of officers, the board of directors and
committees, and for any other business which shall
properly come before the meeting. Notice of the
annual meeting accompanied by a detailed agenda
shall be sent to members at least 30 days prior to
the date of the meeting. The annual meeting shall
be held in conjunction with a statewide meeting of
the Texas Association of Counties.
Section
2. Special meetings.
Special meetings of the membership may be called by
the board of directors, provided that notice of such
meetings shall be postmarked to members at least 15
days prior to the date of the meeting. Notice shall
include the specific business to be conducted at the
meeting.
Section
3. Quorum.
A. Membership meetings.
The quorum for any special
meeting of the membership shall be ten percent
(10%) of the total membership, provided that at
least five directors are present. The quorum
for the annual meeting shall be a majority of
those registered for the meeting.
B. Board of directors meetings.
A quorum for meetings of the
board of directors shall be a majority of the
officers and
directors.
Section 1. Composition.
The board of directors shall
consist of the elected officers, the immediate past
president and four directors elected by the
membership. Two directors shall be elected each
year for a term of two years or until their
successors are elected. Directors may serve no more
than five terms. A member of the Human Resource
Assistance staff of the Texas Association of
Counties shall serve as an ex officio member of the
board of directors.
Section 2. Responsibilities.
The board of directors shall be
responsible for the management and administration of
the Texas Association of County Human Resource
Professionals in all respects and for all purposes.
The board of directors shall have the power to
conduct the business of the Association except that
which is retained by the membership as provided by
their bylaws. The board of directors shall be
responsible for adoption of the annual budget.
Section 3. Election of the Board
of Directors
Members of the Board of Directors
shall be elected at the Association’s annual
meeting. They shall take office following the
adjournment of the meeting at which they are
elected. A majority vote of the membership in
attendance shall elect.
Section 4. Vacancies.
Vacancies among directors shall be
filled by the board of directors for the remainder
of the term vacated.
Section 5. Board of directors
meetings.
Board of directors meetings shall
be held at least twice a year. Notice of regular
board meetings shall be made at least 15 days in
advance.
Section 6. Special meetings of the
board of directors.
Special meetings of the board of
directors may be called by the president or any
three directors. Notice of the special meeting
shall be sent to directors at least 3 days prior to
the date of the meeting.
Section 1. Standing committees.
The standing committees shall be:
Bylaws, Membership, Nominating and Legislative.
A. Bylaws.
The bylaws committee shall be responsible for
reviewing the bylaws and submitting amendments
to the membership. Proposed amendments shall be
included in the call to any annual meeting where
bylaw amendments are to be considered.
B. Membership.
The membership committee shall encourage new
membership and devise means of retaining current
members. The secretary shall be a member of the
membership committee.
C. Nominating.
The nominating committee shall present
recommendations to the membership at the annual
meeting to fill vacancies in association
officers and board of directors. The committee
shall consist of 3 members in good standing
appointed by the president.
D. Legislative
The legislative committee shall monitor issues
relating to local government human resources and
employment law and advise the membership and
board of directors on appropriate positions and
action.
Section 2: Special Committees
Special committees may be created
by the president, the board of directors or the
membership. Charges to special committees shall be
in writing. Special committees shall be appointed
by the president with approval of the board of
directors.
